AFFILIATE AGREEMENT

This contract ("THE AFFILIATE AGREEMENT") sets forth the terms and conditions of the affiliate relationship between the merchant's websites (truenorthseedbank.com and canukseeds.com) and its owners ("NASB Inc.") and the party requesting enrollment ("AFFILIATE").

ENROLLMENT

By providing their information and agreeing to these terms AFFILIATE requests enrollment in True North Seed Bank’s affiliate program. True North Seed Bank reserves the right to refuse enrollment for any reason. True North Seed Bank is not required to notify AFFILIATE if enrollment has been denied, or to provide any explanation.

GENERAL TERMS

The AFFILIATE must note that promoting the germination of True North Seed Bank’s cannabis seeds is illegal in the UK and in most other countries. Anyone committing this offence may be imprisoned of fined, or both.

True North Seed Bank does not wish to induce anyone to act in conflict with the law. All persons who purchase seeds are responsible for their actions in the future. True North Seed Bank will accept no responsibility in this respect.

All information contained on any True North Seed Bank promotional material or packaging is for educational purposes only and is not intended to condone, promote or incite the use of illegal and/or controlled substances.

Likewise AFFILIATES must not incite the use, cultivation or trafficking of banned substances.

LINKS

True North Seed Bank may provide AFFILIATE with links, banners, text, multimedia content, or other snippets (collectively "ADS") to use when promoting True North Seed Bank's product(s).

TRACKING

True North Seed Bank will track referred users ("REFERRALS") on the basis of additional information added to the URL, and/or the referring URL. REFERRAL may be tracked using JavaScript, cookies, IP address, and/or other technologies. AFFILIATE accepts that tracking of referrals is inaccurate. AFFILIATE accepts that they may not receive credit for referrals who have disabled Flash, cookies, or JavaScript, or who in some other way interfere with the normal operation of tracking code.

True North Seed Bank may also cancel any transaction, including all commissions owed to AFFILIATE for any reason, including duplicate transactions, suspicious or fraudulent transactions, order returns, or incorrectly assigned transactions, even if the transaction was tracked automatically by the code.

SUB-AFFILIATES

AFFILIATES may promote True North Seed Bank's Affiliate Program for other AFFILIATES and earn 2-tier commissions from earnings of other AFFILIATES that registered through AFFILIATES' link.

AFFILIATES are forbidden from registering another account under their own account in order to earn additional 2-tier commissions. Any such activity will be treated as fraudulent and when discovered, it will result in immediate accounts' cancellations as well as cancellation of any commissions owed to AFFILIATE.

PAY PER CLICK ADVERTISING (PPC)

AFFILIATES may promote True North Seed Bank’s websites using PPC campaigns in various search engines. AFFILIATES acknowledge that promoting cannabis seeds may be not allowed or limited by various search engines and they run their affiliate PPC campaigns on their own risk.

AFFILIATES must adhere to search engine company’s Terms and Conditions.

AFFILIATES are not permitted to use the True North Seed Bank trademarks and website names and domains and in any paid search activity, whether this is in ad text, copy or display URLs.

AFFILIATES are not permitted to bid or appear on keywords that include our trademarks, website names and their domains, as well as their misspellings. Examples of forbidden keywords: True North Seed Bank, True North Seedbank True North seeds, Truenorthseedbank.com, etc.

PAYMENT

Affiliates will receive their affiliate invoice on (or shortly after) 20th day of the month for approved commissions earned on sales referred in the previous month. Invoices will be paid out by the end of the month. Affiliate must be owed CA$150, or the minimum payout threshold selected in AFFILIATE's account options, to be able to receive payment. AFFILIATES can be paid by check or direct bank/wire transfer. Payments are issued in CAD.

CUSTOMERS

AFFILIATE grants that REFERRAL is the customer of True North Seed Bank. True North Seed Bank may attempt to sell additional goods or services to REFERRAL at any time, for any reason.

LICENSE

ADS may contain copyrighted material, trademarks, or other intellectual property. Unless otherwise noted, Affiliate is authorized to use ADS and the content in them for the sole purpose of promoting True North Seed Bank's product(s). THE AGREEMENT in no way implies an exclusive license to intellectual property, license to create or display derivative works, or a license to use any material for any purpose other than promotion of True North Seed Bank's product(s).

DURATION

THE AGREEMENT may be terminated at any time by either party by notifying the other party in writing, by telephone, or via email. Upon termination Affiliate will be paid any commissions owed. Upon termination, True North Seed Bank will no longer pay AFFILIATE any commission for visitors sent, even if True North Seed Bank continues to track AFFILIATE's REFERRALS.

MODIFICATION

True North Seed Bank may change this agreement at any time by posting a new agreement here. AFFILIATE's continued use of the referral tracking system shall constitute agreement to the new terms. If AFFILIATE chooses not to accept the new terms, AFFILIATE may terminate THE AGREEMENT as set forth above.

LIMITATION OF LIABILITY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
